Governance

The Board of Directors of Silver Standard assumes responsibility for the ethical and accountable stewardship of the Company and the protection of its shareholders' interests. The Board is chaired by a Non-Executive Chair and is made up of eight Directors, seven of whom are considered independent of management. The parameters for the governance of the company are consistent with the relevant regulatory requirements. Specific Charters have been developed for the Board and for its various Committees that set out their roles and responsibilities.

Business Conduct and Ethics

The Board advocates a high standard of integrity for all its members and the company, and has adopted a written Code of Conduct for the Directors, Officers and employees of Silver Standard. Annual certification is required by each Director, Officer and employee acknowledging his or her respective obligations under the Code and the availability of the Whistle Blower Policy.
